Introduction and Acceptance of Terms

These Master Terms of Service ("Terms") constitute a legally binding agreement between you (“user”, “you”, “your”) and Amoble IT Services Inc. ("Company," "we," "us," or "our") with regard to use of our Service(s) (as defined below) and shall remain in full force and effect while you are using the Service(s). These Terms govern your access to and use of all applications, platforms, software, websites, and related services operated by the Company, including but not limited to Auto-SignFlow and Amoble Auto (collectively the "Services"). By accessing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Eligibility

You must be at least age of majority in your residential jurisdiction and have the legal capacity to enter into binding contracts. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of Services

Amoble IT Services inc. provides all of the services on the following applications

Auto-SignFlow

This is a cloud-based digital signage platform allowing users to:

Upload and manage media files (images, videos, and web content)

Generate your own graphic(s) with the AI-powered image generator

Create and manage media playlist(s) with multiple graphics for a single media player

Configure and control media players across multiple displays

Design custom overlays with widgets (clock, weather, news, logos)

Pair and manage TV displays remotely

Amoble Auto

This is a mobile application designed to assist automobile drivers in tracking expenses, mileage, and vehicle-related data through manual input and automated location tracking

Accounts and Security

To use any of our Service(s), you must create an account by providing accurate and complete information, including your business name, address, email, and phone number.

You are responsible for:

Maintaining the confidentiality of your account credentials

All activities that occur under your account

Ensuring your account information remains accurate and up-to-date

Notifying us immediately of any unauthorized access to your account

Payment of any subscription or user fees in connection with your use of the Service(s).

Subscriptions, Fees, and Payments

Certain features of the Services are offered on a paid or subscription basis.

Billing & Payment All payments are processed securely through a Company approved payment provider. Subscriptions are billed in advance on a monthly or annual basis, depending on the Service(s) you select. You authorize us, or our designated payment provider to charge your designated payment method for all applicable Service fees. Failure to pay any amounts due and owing will result in immediate termination or suspension of Services.

Auto-Renewal Subscriptions automatically renew at the end of each billing period unless cancelled in accordance with the termination provisions set out in these Terms. You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing period.

Refunds Due to the digital nature of our Service(s), all fees are not refundable. Although refunds are generally not provided. Price Changes Company reserves the right to modify our Service(s) pricing. Any price changes will be communicated at least thirty (30) days in advance and will take effect at the start of your next billing cycle.

Communication
By using the Service(s), you consent to being contacted and receiving electronic communications from Company. These electronic communications may include notices about applicable fees and charges, changes to these Terms, transactional information and other information concerning or related to the Service(s).

Acceptable Use

In connection with Services, we may, (subject to compliance with applicable data protection laws), collect, consolidate and analyze your personal information and data ("Data"). In this regard, you hereby grant us a non-exclusive, perpetual, worldwide license to use your non-personally identifiable Data in aggregated, de-identified formats, for the purpose of improving our Service(s), benchmarking, statistical research, marketing analyses, surveys and reports.
In addition, you agree not to misuse the Services, violate laws, infringe rights, or engage in fraudulent or abusive behavior in connection with the use of our Services.

Intellectual Property

Your Content The Service(s) may contain trademarks, service marks, designs, logos and other marks (collectively “Trademarks”) belonging to Company or other third-party service providers connected with the provision of the Service(s). The use of any Trademarks is prohibited except with formal written agreement from the Company. Ownership and control of the intellectual property shall at all times remain with the Trademark owner.
You retain ownership of all content you upload to any Amoble Application. By uploading content, you grant us a limited license to store, process, use, disclose and display your content solely for the purpose of providing the Service(s).

AI-Generated Content Images generated using the AI Image Generator feature are created using third-party licensed AI software. You receive a license to use AI-generated images for your digital signage purposes, solely in connection with the Services. You are responsible for ensuring your use of AI-generated content complies with all applicable laws.

Prohibited Activities
All Amoble Applications Services, including all designs, features, functionality, and underlying code, is owned by us and protected by intellectual property laws. You may not copy, modify, or create derivative works of our platform, nor reverse engineer, infringe any intellectual property provided in connection with the Services, nor may you share your account with other users. Accounts are user specific for the individual subscriber. Further, you may not circumvent, disable, or otherwise interfere with security-related features of the Service(s).

Termination & Change to Terms

We may suspend or terminate your access to the Service(s) if you violate any of these Terms. Further, we reserve the right to delete any account, information and all content associated therewith following any prolonged period of inactivity (at least 90 days), You may cancel your subscription for the Service(s) at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. Upon termination, your right to use the Service(s) ceases immediately. No funds will be reimbursed or credited for any prepayment. All sums due and owing must be paid in full upon termination.

Change to Terms

We may update these Terms from time to time in our sole discretion. We will notify you of material changes by email or through the Service(s) at least 30 days before they take effect. Your continued use of the Service(s) after changes become effective constitutes acceptance of the updated Terms.

Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service(s). We may perform scheduled maintenance with advance notice. We are not liable for any Service disruptions beyond our reasonable control.

Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for incidental, direct or indirect, special, punitive, consequential or other damages including but not limited to loss of revenue or income, lost profits, pain and suffering, emotional distress, cost of substitute goods or services, or similar damages suffered or incurred by you or any third party that arise in connection with your use of the Service(s).

The Service(s) are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied for any intended purpose.

We do not warrant that the Service(s) will be uninterrupted, secure, or error-free

No representations or warranties of any kind are made concerning the Service(s), express, implied, statutory or otherwise, including, without limitation, warranties of title, merchantability, fitness for a particular purpose, or non-infringement.

Our total liability for any claim in connection with the provision of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify and hold us harmless from and against any and all losses, expenses, damages, and costs, including without limitation, reasonable attorney’s fees, resulting, whether directly or indirectly, arising out of your use of the Service(s), including but not limited to your violation of these Terms.

Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, conflicts of laws notwithstanding. Any disputes shall be addressed by the courts in the city of Montreal in the province of Quebec.

Third-Party Services

Our Service(s) integrate with third-party payment provider services to process fees in connection with the Services(payments), Google AI (image generation), weather APIs, and news APIs. Your use of these features is subject to the respective third-party’s terms of service. We are not responsible for the availability or accuracy of any third-party service providers’ services.
